1. Purpose
These Terms & Conditions (“T&Cs”) govern all Proof of Concept (“PoC”) engagements undertaken by CommsCloud Managed Infrastructure (Pty) Ltd (“CommsCloud,” “we,” “us”) with prospective clients (“You,” “Client”). The purpose of a PoC is to allow Clients to evaluate CommsCloud IoT SIM card products and services, provided over the floLIVE platform, in their own environment under controlled, limited conditions before proceeding with broader rollout.
2. Who is accepting these T&Cs
By accepting, the individual completing this registration confirms that:
- to the best of their knowledge, they are able to register for this PoC on behalf of the organisation they have named; and
- the organisation, not the individual, is the “Client” to whom these T&Cs relate.
This registration is for the purpose of the PoC trial. The organisation’s authority to enter into connectivity services is confirmed separately as part of the KYC process in clause 4, before any SIMs are activated. Where authority cannot be verified at that stage, CommsCloud may withdraw the PoC and will not activate any SIMs.
3. Type of PoC
- This is a Free PoC.
- CommsCloud will supply the Client with two (2) SIM cards free of charge.
- The SIM cards include complimentary data and SMS usage, for a period of one (1) month from first SIM activation:
- Telemetry (LDV) SIMs: capped at 50 MB and 5 SMSs per SIM; and
- HDV SIMs: capped at 600 MB and 5 SMSs per SIM.
- The SIMs will stop working once the thresholds are reached or once the one (1) month period ends.
- At any stage the Client may request usage beyond the complimentary thresholds, or continued use after the PoC period, to be billed at standard CommsCloud rates.
4. Activation is conditional on KYC
Registering for this PoC on this page does not by itself entitle the Client to SIM activation. CommsCloud will only activate the SIM cards once the Client has provided, and CommsCloud has verified, the Know-Your-Customer (“KYC”) documentation set out in the CommsCloud Customer KYC & Connectivity Onboarding Pack. This KYC step follows this PoC registration and is completed with your CommsCloud contact during onboarding.
Verification is documentary, not in person. At a minimum, and depending on the deployment jurisdiction (clause 6), CommsCloud will require:
- a certified copy of the entity’s registration document / registry extract showing current directors or members;
- proof of the entity’s address dated within the last three (3) months;
- a certified copy of the authorised representative’s ID or passport;
- a Letter of Authority signed by a registered director, or a board / members’ resolution appointing the representative; and
- proof of the representative’s address where required by the deployment jurisdiction.
Failure to provide the required KYC documentation, or failure of verification, will prevent SIM activation and may result in withdrawal of the PoC offer. This KYC process replaces the previous in-person RICA declaration for connectivity provided over the floLIVE platform.
5. Sanctions & AML
By accepting, the Client confirms that it, its directors and its beneficial owners are not a Sanctioned Person, are not owned or controlled by a Sanctioned Person, and are not located in a comprehensively sanctioned territory. The Client consents to CommsCloud screening it against applicable sanctions and PEP (politically exposed person) lists, and undertakes to notify CommsCloud of any change to this position.
6. Deployment jurisdiction
The Client will tell CommsCloud every country in which its SIMs or devices will operate. All CommsCloud SIMs supplied for this PoC operate on roaming IMSIs. Because the SIMs roam rather than run on a local IMSI, local subscriber-registration is generally not triggered; however, some countries impose additional requirements - including restrictions on long-term or permanent roaming - that may apply depending on the country of deployment. CommsCloud uses the deployment information to confirm which, if any, of these requirements apply.
7. PoC duration & use
- The PoC period commences upon first activation of either SIM card and expires after one (1) month.
- All unused data or SMS credits are forfeited at the end of the PoC period. Extensions may be granted at CommsCloud’s sole discretion.
- The SIM cards are intended solely for testing in the Client’s own devices and environments; resale or distribution is prohibited.
8. Property & return
SIM cards remain the property of CommsCloud. CommsCloud will either request to collect the SIM cards, or request that they be destroyed, if the Client does not wish to proceed after the trial.
9. Service levels & support
- During the PoC, CommsCloud will provide standard remote support to assist testing.
- No minimum service uptime or performance guarantees apply during the PoC phase.
- No floPORTAL access will be available during the PoC period.
10. End-user / sub-allocation undertakings
Where the Client issues or loans SIMs or devices to its own staff or to third parties, the Client undertakes to: record and retain the user details required by the applicable jurisdiction; maintain those records on issue, transfer, resignation and cancellation; report lost or stolen SIMs; and produce the records to CommsCloud within the contractual window on lawful request.
11. Limitation of liability
Except as required by law, CommsCloud’s liability for any loss or damage arising from the PoC, whether direct or indirect, is strictly limited to the actual cost of the SIMs and data utilised under this Free PoC.
12. Confidentiality & data protection
- Both parties shall treat information exchanged during the PoC as confidential.
- CommsCloud is the responsible party / controller for the personal information collected in connection with this PoC and processes it to provide connectivity and to meet its legal obligations, in accordance with the South African Protection of Personal Information Act (“POPIA”) and, where applicable, the GDPR.
- Connectivity-platform processing is performed by floLIVE as processor under a Data Processing Agreement; floLIVE retains usage data for six (6) months. KYC records are retained by CommsCloud for the period required by applicable law.
- The Client confirms it is entitled to share any third-party personal data it provides to CommsCloud.
13. General
- Participation in a PoC does not oblige the Client to purchase further services, nor does it bind CommsCloud to supply further SIMs or services unless separately agreed.
- CommsCloud reserves the right to withdraw, suspend, or alter the PoC terms at any stage, provided reasonable notice is given.
14. Client obligations
- The Client agrees to actively collaborate with CommsCloud during device onboarding and ecosystem integration during this PoC.
- Device compatibility: the Client shall involve CommsCloud in the testing and onboarding of all devices intended for use with CommsCloud SIM cards.
- Ecosystem testing: this collaboration is essential to verify that such devices are fully compatible with the functionalities, profiles, and network-switching capabilities provided by CommsCloud SIM cards.
Acceptance
By ticking “I accept the Terms & Conditions” and submitting this registration, you confirm that you are authorised to bind your organisation and that your organisation agrees to these T&Cs. A copy of the accepted T&Cs, together with the SIM ICCID(s) registered to you and their type (HDV or LDV), will be recorded against your PoC registration.
